Terms and Conditions

1. Services
JORIS Creative provides creative services through defined projects, project packages or clear deliverables, including but not limited to:
- Branding and visual identity, including concepts, design and templates
- Social content and campaign assets
- Presentation and pitch materials, including decks, formats and visual systems
- Photography and content production
- Creative direction and visual concepts
- Creative consulting, including strategy and advice
All services are delivered based on a clearly agreed scope, output and timeframe. They do not mean ongoing availability, regular work or a role within the client’s organisation.

2. Quotes
Quotes are valid for 30 days and only become binding after written confirmation from both parties.

3. Revisions
One round of revisions is included in each project phase. Changes outside the agreed scope are treated as extra work and will be quoted or charged separately.

4. Independent project work
JORIS Creative works as an independent contractor and only on defined assignments or projects. JORIS Creative is not part of the client’s organisation and works independently, without a management relationship, fixed availability or ongoing commitment. These Terms and Conditions do not create an employment contract.

5. Delivery
Deadlines are estimates and are linked to the agreed project plan and deliverables. Missing a deadline does not give the right to compensation or to cancel the agreement.

6. Ownership and rights
All intellectual property rights for delivered designs, images and materials remain with JORIS Creative until the invoice is paid in full. The client only receives permission to use the work for the agreed purpose. Reusing, changing or reselling the work is not allowed without written permission from JORIS Creative.

7. Source material and delivery
The client is responsible for providing correct, usable and rights-cleared files, text and materials on time. JORIS Creative is not responsible for delays or damage caused by incorrect, incomplete or late information.

8. Changes after approval
After approval of a design, concept or delivery, later changes are treated as extra work and charged separately.

9. Source files
Source files, such as .psd, .ai, .indd or unedited RAW files, are not included by default. They can only be provided with a written agreement and for an additional fee.

10. Travel and production costs
Travel, location hire, equipment, models, props and other production costs are listed separately in the quote or charged afterwards.

11. Portfolio and promotion
JORIS Creative may use completed work for portfolio, presentation and promotional purposes, unless agreed otherwise in writing.

12. Cancellation
If the client cancels, completed work and costs already made will be charged in full. If a planned shoot or production is cancelled within 48 hours, JORIS Creative may also charge 50% of the agreed project fee.

13. Payment
Invoices must be paid within 30 days of the invoice date. Late payments may include legal interest and collection costs.

14. Liability
JORIS Creative’s liability is limited to the invoice amount for the relevant project. JORIS Creative is not responsible for indirect, consequential or business losses, including loss of data or profit.

15. Indemnity
The client protects JORIS Creative from any third-party claims caused by using, publishing or sharing the delivered work, including claims about copyright, portrait rights or trademark rights.

16. Force majeure
If circumstances outside either party’s control prevent the work from continuing, the agreement may be paused or adjusted without compensation. If this situation lasts more than 30 days, either party may end the agreement.

17. Applicable law
All agreements are governed by Dutch law. Disputes will be submitted to the competent court in ’s-Hertogenbosch.
