1. Services
JORIS Creative provides creative services on a project-based basis, delivered as clearly defined projects, project bundles, or specific deliverables. These services may include, but are not limited to:
• Branding and visual identity (concepts, design, templates)
• Social content and campaign assets
• Presentation and pitch materials (decks, formats, visual systems)
• Photography and content production
• Creative direction and visual concepts
• Creative consulting (strategic and advisory)
All services are performed based on an agreed scope, output, and project duration, and do not involve structural availability, ongoing support, or organisational integration within the client’s company.
2. Quotes
Quotes are valid for 30 days and become binding only after written confirmation by both parties.
3. Assignment-Based Character
All services provided by JORIS Creative are performed as an independent contractor and exclusively within the scope of specific, clearly defined assignments or projects. JORIS Creative is not organisationally integrated into the client’s organisation and performs the work independently, without any relationship of authority, fixed working hours, or structural availability. These Terms & Conditions explicitly do not constitute an employment relationship as defined under applicable Dutch labour law.
4. Revisions
Each assignment includes one complimentary revision round. Any changes or additions outside the agreed scope are considered additional work and will be quoted separately or invoiced additionally.
5. Delivery
Delivery dates are indicative and linked to the agreed project planning and deliverables. Exceeding a delivery date does not entitle the client to compensation or termination of the agreement.
6. Ownership and Rights
All intellectual property rights to delivered designs, visuals, and materials remain the property of JORIS Creative until full payment has been received. The client obtains usage rights solely for the agreed purpose. Reuse, modification, or resale of the work is not permitted without written consent from JORIS Creative.
7. Materials and Input
The client is responsible for providing accurate, complete, and royalty-free materials, files, and information on time. JORIS Creative cannot be held liable for delays or damages resulting from incorrect, incomplete, or late submissions by the client.
8. Changes After Approval
Once a concept, design, or delivery has been approved, any further changes will be considered additional work and billed separately.
9. Source Files
Source files (such as .psd, .ai, .indd, or unedited RAW files) are not provided by default. These may be supplied only by written agreement and may incur an additional fee.
10. Travel and Production Costs
Any travel expenses, location rentals, equipment costs, models, props, or other production-related expenses will be specified separately in the quote or final invoice.
11. Portfolio and Promotion
JORIS Creative reserves the right to use completed work for portfolio, presentation, and promotional purposes, unless otherwise agreed in writing.
12. Cancellation
If the client cancels the project, all work completed and expenses incurred up to that point will be charged in full. For cancellations within 48 hours of a scheduled shoot or production, JORIS Creative may charge 50% of the agreed project fee.
13. Payment
Invoices must be paid within 30 days of the invoice date. Late payments are subject to statutory interest and collection costs.
14. Liability
JORIS Creative’s liability is limited to the total invoice amount of the relevant project. JORIS Creative is not liable for indirect, consequential, or business-related damages, including loss of data or profit.
15. Indemnification
The client shall indemnify JORIS Creative against any third-party claims arising from the use, publication, or distribution of the delivered work, including copyright, portrait, or trademark infringements.
16. Force Majeure
In the event of force majeure, the execution of the agreement may be suspended or modified without liability for damages. If the situation lasts longer than 30 days, both parties may terminate the agreement.
17. Governing Law
All agreements are governed by Dutch law. Any disputes shall be submitted to the competent court in ’s-Hertogenbosch, the Netherlands.
